Terms and Conditions

The Consultant (Persistent Courage Founder Sondra Imperati, employees or contractors) has a background in executive business and marketing strategy development and coaching and is willing to provide services to the Client based on this background.

  

Performance of Services. 

(a)  The Consultant shall work with Client to develop plans and strategies that are aligned with the scope of work outlined in the proposal agreed upon by both parties.

(b) For coaching services, the Coach agrees to maintain ethical standards as outlined by the International Coaching Federation www.coachingfederation.org/ethics. It is recommended that the Client review the ICF Code of Ethics and the applicable standards of behavior. 

(c) Client is solely responsible for creating and implementing his/her own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and his/her coaching calls and interactions with the Coach. As such, the Client agrees that the Coach is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by the Coach. Client understands coaching is not therapy and does not substitute for therapy if needed, and does not prevent, cure, or treat any mental disorder or medical disease.

(d) The manner in which the Services are to be performed and the specific hours to be worked by the Consultant shall be determined by the Client and the Consultant. The Client will rely on the Consultant to work as many hours as may be reasonably necessary to fulfill the Consultant's obligations under this Contract. 

(e) The Consultant is not responsible if Client priorities shift and change in such a way that the scope of work, deliverables and/or their due dates are negatively impacted. Should this be the case, the Consultant and Client will discuss and agree to reasonable changes to the scope of work, deliverables, timelines and/or fees.


Payment.  

The Client will pay the agreed upon fee to the Consultant for Services. Upon signing of the contract, 1/2 of the payment is due with the remaining due 1/2 way through the engagement terms. Credit options are available.

   

Expense Reimbursement  

The Consultant shall be entitled to reimbursement from the Client for the following "out-of-pocket" expenses:

- Travel

- Meals


Term 

The contract will terminate upon completion of the services provided and final payment. Should additional services be required, a new contract will be developed.


Termination and Refunds  

Either party may end this Contract prior to the Termination Date, with or without cause, upon 30 days' written notice to the other party ("Early Termination"). Upon Early Termination, the remaining payment will be due. 


No refunds will be given for coaching and consulting services.


  

Unauthorized Disclosure of Information.  If it appears that the Consultant has disclosed (or has threatened to disclose) Information in violation of this Contract, the Client shall be entitled to an injunction to restrain the Consultant from disclosing, in whole or in part, such Information, or from providing any Services to any party to whom such Information has been disclosed or may be disclosed. The Client shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.

Confidentiality After Termination.  The confidentiality provisions of this Contract shall remain in full force and effect after the termination of this Contract.

All content on this website — including but not limited to written copy, frameworks, coaching methodologies, course materials, workbooks, worksheets, graphics, photographs, podcast episodes, blog posts, social media content, Courageous Cues™ materials, and all branding associated with Persistent Courage® — is the exclusive intellectual property of Sondra Imperati and Persistent Courage LLC.

This content is protected under United States and international copyright law, trademark law, and applicable intellectual property statutes. All rights are expressly reserved.


“Persistent Courage®” and all naming conventions are proprietary names and brands. Unauthorized use of these names, in whole or in part, is prohibited.


Permitted and Prohibited Uses

You MAY:

Violations of these terms may result in legal action, including claims for copyright infringement, damages, and attorney’s fees.


Courses, Coaching Programs & Paid Materials

When you purchase a course, coaching package, or any digital product from Persistent Courage, you receive a limited, non-transferable, personal license to access and use that material for your own growth and development. This license is non-exclusive and non-sublicensable.

Specifically, you agree that you will not:

· Share login credentials, download links, or access to any course platform with any other person.

· Resell, sublicense, or otherwise transfer your access or the materials themselves.

· Reproduce course content — including workbooks, frameworks, slide decks, audio, or video — in any format or medium.

· Teach, train, or create derivative programs using Persistent Courage frameworks, methodologies, or curriculum without a formal licensing agreement.


If you are interested in licensing Persistent Courage frameworks for corporate training, team development, or organizational use, please contact sondra@persistentcourage.com to discuss a formal agreement.


Coaching & Consulting Engagements — Confidentiality & Ownership

All materials, frameworks, exercises, assessments, and written guidance developed and shared during coaching or consulting engagements — whether delivered live, in writing, or via any digital platform — remain the intellectual property of Sondra Imperati and Persistent Courage LLC.


You may use these materials for your own personal or professional development. You may not share them publicly, use them to train others, or reproduce them in any format without written permission.


Testimonials & User Submissions

If you submit a testimonial, review, or any written statement to Persistent Courage, you grant Sondra Imperati and Persistent Courage LLC a perpetual, royalty-free, worldwide license to use, reproduce, and display that content for marketing and promotional purposes, in any format and on any platform.

Your name and general identifying information may be used alongside your testimonial unless you explicitly request otherwise at the time of submission. Specific identifying details (employer, title, location) will not be shared without your consent.


Requesting Permission

Persistent Courage welcomes collaboration and meaningful sharing of ideas. If you would like to use content beyond what is permitted above — for educational purposes, media, speaking, or partnership — please contact us before reproducing or sharing anything.
